This text describes and explains the law of agency, partnership, the limited liability company (LLC), and other unincorporated business enterprises. Included is discussion regarding the adoption of the check-the-box regulations by the Internal Revenue Service, which resulted in changes to the uniform acts and state legislation for partnerships and the LLC. This nutshell also updates all of the other substantive changes in these highly important areas of the law. In addition, many of the chapters from the First Edition have been rewritten and expanded, with the goal of providing a useful and relatively complete study aid for the student reader.
